CueCrux Limited / Terms & conditions

Terms & conditions

Effective 29 September 2026. Sections 5 and 7 were updated on that date to set out responsibility for design changes and engineering review. These terms cover ParaCrux Solidworks Agent and ParaCrux Blender Agent, supplied by CueCrux Limited, registered in England and Wales (company number 16885471), registered office: 71–75 Shelton Street, Covent Garden, London, WC2H 9JQ, United Kingdom.

1. The product and your licence

The Agent is Windows desktop software that connects to a compatible, separately licensed SOLIDWORKS installation. Your subscription gives you a limited, non-exclusive right to use the supported paid workflows during the paid subscription period, up to your purchased concurrent seat count. You retain ownership of your designs. Free file previews do not require a paid subscription.

The Blender Agent is part of the same desktop software and works with Blender. It connects to a copy of Blender 5.2 LTS that you install yourself from blender.org; Blender is not supplied or licensed by us. Its renders are presentation images, not engineering evidence. Blender is a registered trademark of the Blender Foundation. ParaCrux is not affiliated with or endorsed by the Blender Foundation.

The software supports the operations described in the product documentation for your release. It does not promise support for every model, feature, SOLIDWORKS version or engineering task. Confirm compatibility and release availability before purchase. Third-party software, hardware and charges for your own AI provider account are not included.

2. Orders and payment through Paddle

Paddle acts as our merchant of record and authorised reseller for online purchases. Paddle handles the transaction, applicable sales taxes, payment processing and payment-related support. Your purchase is also subject to Paddle’s Buyer Terms and Refund Policy. These product terms govern use of our software and do not override mandatory rights or Paddle’s applicable purchase terms.

The selected plan, number of seats, billing currency, taxes and total due are displayed before you pay. Launch pricing for each agent is £39 per seat per month or £390 per seat per year, before any applicable taxes calculated at checkout. Annual plans are billed in one annual payment. No payment is taken merely for creating an account.

3. Renewals, changes and cancellation

Subscriptions renew automatically for the interval selected at checkout until cancelled. Use Billing & cancellation in your account dashboard or the subscription management link in your Paddle receipt. Cancellation normally prevents the next renewal; access continues until the end of the paid period unless a refund, legal requirement or justified suspension applies. See our refund policy. Any price change will be communicated before it applies to a future renewal, with an opportunity to cancel.

4. Activation and availability

Paid use requires server-confirmed entitlement and a valid device-bound seat. Activation, renewal and subscription checks require internet access. Offline borrowing is limited to the period shown by the app and cannot extend beyond your subscription entitlement. Returning a seat retires that local licence; revoking a device prevents future renewals but cannot instantly invalidate an already-issued offline licence.

Keep your account, recovery code and activation codes private. You are responsible for authorised users within your purchased seat count. Report suspected misuse promptly. Do not bypass licensing, interfere with service availability, access another customer’s data, or use the product unlawfully.

5. Engineering review, AI and your responsibility for changes

5.1 What the Agent is

The Agent is a software tool that supports your own engineering work. It is not an engineering, design, certification, testing, inspection or conformity-assessment service, and using it does not create a professional or advisory relationship with us. Its outputs, including reports, calculations, rule checks, proposals, models, drawings, cut lists and chat responses, are produced automatically using AI. They may be incorrect, incomplete or unsuitable for your purpose, even when they include calculations, citations or pass results.

An output reports only the checks actually run, on the inputs actually supplied and under the assumptions it states. A result such as “pass” or “no failures found” does not mean a design is safe, compliant, fit for purpose or in conformity with any standard or law.

5.2 You decide, and you are responsible for, every change

You alone decide whether to adopt, reject or modify any change the Agent proposes or produces, or any change you make relying on its outputs. When you adopt a change, you adopt it as your own design. You remain responsible for the design, manufacture, testing, marking, documentation and placing on the market of your products; for compliance with the laws, regulations and standards that apply to them, including product-safety, toy-safety, machinery and UKCA or CE marking requirements; for your own conformity assessment, technical file and declarations; and for every decision to release, manufacture, sell or use a design. Where you make or supply products, you remain their manufacturer or producer for all regulatory purposes.

5.3 Check before you rely on it

Before relying on any output, have it independently checked by a competent person: someone with the qualifications, experience and authority to verify that design for its intended use and market. For safety-critical uses this check is required before manufacture, sale or use. Safety-critical uses include children’s products and toys, lifting equipment and accessories, pressure equipment, structural or life-safety elements, machinery guarding, vehicles and anything that carries people. Do not use an output as the sole basis of a safety decision, a certificate, a declaration of conformity or a statement to anyone else. Where the Agent recommends buying a certified component, that recommendation does not replace the component’s own certification.

5.4 Your inputs and the standards you use

Outputs depend on your models and on the information you give, such as loads, materials, intended use, market and design intent. You are responsible for their accuracy and completeness, and for confirming or correcting every assumption an output lists. Where an output refers to a standard, it gives the designation, clause, numeric values and where each value came from; it is not a copy of the standard. Obtain licensed copies of the standards you rely on and confirm which edition applies to your product and market. We do not promise that any standard, edition, value or rule set is current, complete or applicable.

5.5 SOLIDWORKS and your files

The Agent automates your own SOLIDWORKS installation, on your own device, under your own licence from Dassault Systèmes; you are responsible for holding and complying with that licence. We are not responsible for faults in third-party software, including crashes during automation. The Agent works on copies and writes its results to new files, but you remain responsible for backups and version control. Inspect dimensions, geometry, configuration, material and resulting files before manufacture, release or other use, and keep the records the Agent produces for as long as your obligations require.

5.6 Keep the notice on outputs

Outputs carry a notice that they were prepared by an AI agent and have not been checked or approved. Do not remove, obscure or alter it, and do not present an output as checked, approved, certified or compliant unless a competent person has independently verified and signed it in your own name. If you pass an output to someone else, pass it on with the notice.

5.7 If you are a consumer

If you use the Agent as a consumer rather than for a business, you keep your statutory rights. We must provide the service with reasonable care and skill, and digital content we supply must be of satisfactory quality, fit for any particular purpose you made known to us and as described. Sections 5.1 to 5.6 explain how to use the Agent’s outputs safely; they do not reduce what we owe you by law. If you design something that other people will use, especially children, have it checked by a competent person before it is made or used, as section 5.3 describes.

5.8 Managed AI credit

Each active paid seat includes £5 of managed AI usage credit per UTC calendar month, including annual subscriptions. Included credit resets at the next UTC month boundary and does not roll over. One-time £10, £25 and £50 packs, when enabled in your dashboard, carry forward without a scheduled expiry and require an active subscription for use. They are account-bound service credit, not transferable money. Cancelling a subscription does not erase unused purchased credit. Applicable taxes are additional. Managed Astra Low usage is charged per million tokens: £40 fresh input, £4 cached input, £50 cache writes and £200 output including reasoning. Charges settle to the nearest penny per inference. Included credit is used first, then purchased credit. A turn may use several inference steps, with a £2 total spending ceiling. Reservations temporarily reduce the available balance; uncertain provider outcomes remain held for reconciliation. Credit use pays for inference, not a guarantee of a successful CAD result. Purchase and refund rights are described in our refund policy; changes to future usage rates will be communicated before they apply.

6. Support, updates and suspension

Product support is available through our support page. We may provide updates and fixes during an active subscription. No specific response time or uptime guarantee applies unless separately agreed in writing. We may restrict access proportionately for non-payment, fraud, serious misuse or a security incident, and will give notice and an opportunity to resolve the issue where reasonably possible.

7. Responsibility and your rights

We will provide the service with reasonable care and skill. Nothing excludes liability that cannot lawfully be excluded, including liability for fraud or fraudulent misrepresentation, or death or personal injury caused by negligence. Nothing limits your mandatory consumer rights.

If you purchase for business use, subject to the preceding paragraph, we are not liable for indirect or consequential losses, loss of profit, product recall, rework, redesign or re-certification costs, or claims by your customers or other third parties arising from products you design, make or supply, in each case arising from use of the product, and our total liability under these terms is limited to the subscription fees you paid for the affected product in the preceding 12 months. This business limitation does not apply where prohibited by law. Consumers retain the remedies and protections required by applicable law.

8. Privacy, changes and disputes

Our privacy notice explains account, licensing and support data processing. We may update these terms to reflect changes in the service or law, with notice of material changes. Changes do not retrospectively remove rights from completed purchases.

These product terms are governed by the laws of England and Wales. Its courts have jurisdiction, subject to any mandatory right of a consumer to bring proceedings in their home jurisdiction and benefit from local protections. Paddle’s purchase terms separately govern the payment transaction. Contact us first so we can try to resolve any concern.
